Site). These Terms and Conditions govern how you may access, browse, and otherwise
use this Site. By (a) accessing , browsing or otherwise using the site by any means
and via whatever device; or (b) registering your details with us to access certain
areas of the site or to receive our services you agree to be bound by these terms.
1. About Alcium and our business
Alcium Software Limited (Alcium) is a private limited company registered in England
and Wales under company registration number 4157769 and with its registered office
at Alcium House, 6 Rotunda Business Centre, Thorncliffe Road, Sheffield, S35 2PG.
Alcium provides a range of software services both to Commercial Property Agents
and to the Inward Investment, Economic Development and Regeneration Services provided
by a variety of Private and Public Sector bodies within the United Kingdom (hereafter
described as Inward Investment Agencies). Alcium’s services include, ‘inter alia’
the collection of property information from both Agents and Inward Investment Agencies
and the display of this information on www.propertypilot.co.uk where it is available
for the public to browse for appropriate Commercial Property to meet their needs.
Alcium offer a further range of services including the transfer of property information
from Commercial Agencies to EGPropertyLink (Reed Business Information Limited),
other Commercial Agencies and to Inward Investment Agencies.
2. About these Terms
2.1 - Coverage
These terms apply to all of Alcium’s websites (The Sites) including, but not restricted
to: www.alciumsoftware.com / www.propertypilot.co.uk / www.evolutive.co.uk / www.agencypilot.co.uk
/ www.agencypilot.com. These sites include all subsidiary “micro sites” and input
devices including all software, firmware and hardware related to the data input,
transfer, display, or download of information individually or collectively to or
from or these websites.
2.2 - Users
These Terms and Conditions identify two types of users. The general public through
the browsing of the site and / or use of the Search and other facilities are termed
“Users” (Users). Users who Register with Alcium for access to additional functionality
and who are granted such access by Alcium are termed Registered Users within the
context of these Terms and Conditions.
2.3 - Deemed Acceptance of Our Terms
By accessing any of Alcium’s websites Users and Registered Users are deemed to have
accepted these collective Terms in their entirety. If a User / Registered User does
not agree to abide by any Term within these Terms then they must stop using the
Site(s) immediately.
2.4 - Revision of Terms
Alcium’s Terms and Conditions may be changed without prior notice to Registered
or Other Users. Revisions to these Terms become applicable from the time at which
they are posted. All Users / Registered Users are responsible for reviewing these
Terms on each occasion that a visit is made to the Site(s). The continuing use of
the Site is deemed to confirm acceptance of these Terms.
3. Registration
3.1 - Why Register?
Registration is required before Alcium will supply services above and beyond general
information on Alcium, their goods and services and the browsing of property information.
When a User registers, they agree to provide, true, accurate, up to date and complete
information as required by the relevant registration form made available to the
User via this website.
3.2 - Registration Process
Registration requires the full and accurate completion of the Registration Page.
Alcium may at its absolute discretion provide the applicant with the services requested
on the Registration Page. Alcium may make whatever further enquiries it deems appropriate
before agreeing to supply the services or, within a period of 30 calendar days,
email the applicant, at the email address supplied on the Registration Page, with
its decision as to whether to supply the services or not and any restrictions which
are applied to the Registration. Alcium reserves the right to withdraw its services,
without a right of appeal, for any reason, at any time. If a User registers with
Alcium for one or more of the services outlined in these Terms and chooses, or is
provided with, a password as part of the registration process, the Registered User
must treat its password as confidential and must not disclose it to any third party.
4. Use of the Site
4.1 - Content
For the purposes of these Terms:
Content includes, but is not limited to, all or part of any text, graphics, layout,
logos, images, audio material, attachments, films or other moving images, product
details and or software published or otherwise available on the Site from time to
time (including without limitation anything made available for download).
Content may be transferred to Alcium’s websites through the mechanism of direct
input or by means of an upload from Alcium’s software products. Registered Users
will be provided with appropriate mechanisms to “transfer ” content either to EGPropertyLink,
a third party web site (a user’s own site or to a site providing website services
for the Registered User) and /or to a Inward Investment Agency.
4.2 - Use of Site
Alcium grants all casual browsers a temporary, limited, revocable, and non-exclusive
license to access, browse and use the Site (including the Content) for personal
and non commercial use only.
While accessing, browsing and / or using the site users must :
1. comply with all applicable laws, regulations and codes;
2. not impersonate another person or use a false name or email address
3. Links to this website are permitted, subject to first obtaining our prior written
consent. Alcium reserve the right to withdraw any such consent at any time, with
notice and without liability for any losses incurred. Links must only be made to
the home page of this website and no entitlement exists to set up links from an
external website to this website by deep-linking, framing or otherwise. Such consent
may be withheld at Alcium’s absolute discretion, and without a need to provide a
reason.
4. Alcium’s websites includes links that allow Users to transfer to third party
sites. Alcium has no control over, and are not responsible for, the content, usage
by Users or availability of those third party websites. Alcium accepts no responsibility
for any products or services bought through those sites or for the treatment of
any personal information provided to that third party.
5. The products, services and websites of third party providers made available via
this website are owned and operated by independent suppliers. Whilst Alcium may
co-brand these products or services with our own, Alcium does not endorse those
products or services or warrant the accuracy or reliability of any information provided
to Users by such third parties. In particular, we do not warrant or guarantee that
Users will be satisfied with the products and/or services supplied by third parties
and Users should make whatever enquiries are felt to be appropriate before proceeding
with any such transactions
6. Users must not modify or attempt to modify all or any part of the content of
the site
7. Users must not gain or attempt to gain unauthorized access to the Site, or the
server on which the Site is stored.
5. Content Submitted on the Site
Where a facility is made available to Registered Users on the Site, they may send
Content (including without limitation, text, photographs or other images, audio
material, films, or other moving images) to Alcium’s Site(s). When content is sent
to Alcium for publication on the site or onward transmission it is in accordance
with these Terms including in particular the following:
1. Users grant Alcium a royalty free, worldwide, perpetual and non exclusive licence
to use, copy, distribute, publish, sub-licence and transmit the whole or any part
of such content in any manner and in any format and or media.
2. publication of any content submitted to Alcium will be at Alcium’s sole discretion
and Alcium reserve the right to edit or otherwise amend such contents prior to publication.
3. it is agreed that Alcium (at their sole discretion) may disclose the originator
of any content which is the subject of any claim for breach of confidence, defamation,
breach of intellectual property rights or the subject of any legal claim for violation
of any applicable law, regulation or code.
4. it is warranted by the user that any content submitted is the user’s own original
work and that all relevant copyright or intellectual property rights exist.
5. the user further warrants that the content submitted is not obscene, threatening,
offensive, defamatory, likely to cause annoyance, breach a confidence, infringe
a property right or in violation of any applicable law, regulation or code.
6. Users acknowledge that any breach of the warranties set out in these terms may
cause damage to Alcium and may give rise to claims against Alcium, and agree to
indemnify Alcium in full and permanently on demand against any third party liabilities,
claims costs, loss or damage incurred as a result of publishing content submitted
to Alcium including consequential loss.
7. Users and Registered Users acknowledge that Alcium do not necessarily pre screen
all content that users have submitted to the site, Alcium reserves the right to
remove at any time and without reason or prior notice any content on the site.
8. Alcium only publishes property information supplied to it by what it considers
to be “bone fide” and trusted clients. Alcium cannot corroborate all content supplied
by them. Prospective purchasers or tenants should not rely on the content posted
on Alcium’s sites as statements of fact, but must satisfy themselves by physical
inspection of the property or site in question as to their accuracy.
9. No information displayed on Alcium’s site constitutes or should form part of
any contract. No person in the employ of Alcium has the authority to make or give
representation or warranty in relation to the content published on Alcium’s sites.
6. Content transferred to Third Parties
6.1 - EGPropertyLink upload
Where the Registered User is authorised and contracted to upload property details
to EGPropertyLink they will be supplied with appropriate facilities within the software
to so do. Full instructions will be provided with the Registration Pack on the operation
of these facilities.
Alcium gives no representations or warranties concerning the transfer to or acceptance
of content by EGPropertyLink. Alcium further gives no warranties concerning the
operation of EGPropertyLink’s site. Whilst Alcium will apply reasonable endeavours
to facilitate the transfer of content to EGPropertyLink it should be noted that
no contractual relationship exists between Alcium and the Registered User with
respect to the transfer of data to EGPropertyLink, and this service may, at Alcium’s
absolute discretion, be withdrawn at any time for any reason.
6.2 - Inward Investment Agency Transfer
Where the Registered User has authorised the supply of property information to a
collaborating Inward Investment Agency, Alcium will “download” such information
as the Registered User has indicated to be downloaded to that Authority. The
download will be based on the Internet Town designated on the Property by the Registered
User and on no other criteria . Alcium will download ALL information scheduled to
be downloaded. Registered users should be aware that once downloaded
Alcium marks the property record and it cannot be republished on any of Alcium’s
sites for marketing or other purposes.
Alcium gives no representations or warranties concerning the transfer to or acceptance
of content by the Inward Investment Agency. Whilst Alcium will apply reasonable
endeavours to facilitate the transfer of content to the Inward Investment Agency
it should be noted that no contractual relationship exists between Alcium, the Inward
Investment Agency and the Registered User with respect to the transfer of data.
7. Intellectual Property
7.1
The design and content of Alcium’s websites is protected under UK Law. All rights
are reserved. The Company retains exclusive rights to permit the publication in
whole or part of the content displayed on this site. Users agree not to copy, adapt,
alter or create any derivative work from any content on this site, or to restrict
or inhibit the use or enjoyment of this site by anyone else.
7.2
All other intellectual property rights in the website are the property of the Company.
8. Personal Data
This website includes areas where Users are requested to input information about
themselves. Any personal data submitted to us through this website shall be subject
to the terms of our Privacy Policy.
9. Disclaimer of representations and warranties
9.1 - Content
We take steps to ensure that all information we provide on this website about our
software and services are correct and complete at the time of the last update to
the relevant page but we do not warrant it will be correct and complete.
9.2 - Availability
Use of this website is free and we take steps to ensure it is available to all permitted
users. We do not warrant that the site will be continuously available, or that your
use of the site will be uninterrupted or error-free, or that the site and server
will be free from attack.
10. General
10.1
If a court or other competent authority holds any of these terms to be void or unenforceable
in whole or part, the other terms and the remainder of the affected term shall continue
to be valid.
10.2
Nothing in these terms shall exclude or limit our liability for death or personal
injury due to our negligence or our liability for fraudulent misrepresentation.
10.3
If you are a consumer, your legal rights are not affected by these terms.
10.4
Our failure to exercise or delay in exercising a right or remedy provided by these
terms of use or by law does not constitute a waiver of those or any other rights
or remedies.
10.5
These terms and the use of this website and its content shall be governed by and
construed in all respects in accordance with English law, and Users agree to submit
to the non-exclusive jurisdiction of the English courts.
